1. Parties and Definitions
This agreement ("Agreement") is between AI ArchiTech (TIN: 302364876), registered at 28 Kutaisi St, Tbilisi, Georgia ("Provider", "we", "us") and the legal entity or individual entrepreneur subscribing to our services ("Client", "you").
Platform — the SaaS application at app.architech.ge and associated APIs.
AI Assistant — an artificial intelligence–powered virtual agent deployed on the Client's communication channels (website widget, Telegram, Messenger, etc.).
Subscription — a recurring service plan granting the Client access to one or more AI Assistants for a defined billing period.
Tenant — the Client's isolated workspace within the Platform, containing their agents, conversations, leads, and settings.
End User — any individual who interacts with the Client's AI Assistant.
2. Service Description
AI ArchiTech provides a B2B SaaS platform that enables businesses to deploy AI-powered virtual assistants. The Platform supports 52+ industry verticals including but not limited to restaurants, dental clinics, real estate agencies, auto services, education, and tourism.
The service includes: AI Assistant configuration and deployment, multi-language support (Georgian, Russian, English, Hebrew, Arabic), a client dashboard with analytics, conversation management, lead capture, CRM integrations, and an embeddable website chat widget.
3. Account Registration
3.1. To use the Platform, the Client must register an account by providing accurate and complete information including company name, contact person, email address, and phone number.
3.2. The Client is responsible for maintaining the confidentiality of their account credentials and for all activities that occur under their account.
3.3. The Client must be a registered business entity or individual entrepreneur. The Platform is not intended for personal, non-commercial use.
3.4. We reserve the right to suspend or terminate accounts that provide false information or violate these Terms.
4. Subscription Plans and Pricing
4.1. The Platform offers the following plans (prices in Georgian Lari, GEL):
- Business: 550 GEL/month (monthly billing) or 450 GEL/month (annual commitment, billed monthly)
- Pro: 900 GEL/month (monthly billing) or 750 GEL/month (annual commitment, billed monthly)
- Voice: Available upon request
- Enterprise: Custom pricing
4.2. A mandatory one-time setup fee of 400 GEL applies to all new subscriptions.
4.3. Each plan includes approximately 700 dialogs per month, one AI Assistant, and access to all supported communication channels.
4.4. Additional AI Assistants may be added at 50% of the base subscription rate.
4.5. Prices may be updated with 30 days' written notice. Existing subscriptions remain at the agreed rate until the end of the current commitment period.
5. Free Trial
5.1. New Clients may be offered a free trial period of up to 7 days with a limited number of messages.
5.2. No payment information is required to start a trial.
5.3. At the end of the trial, the Client must subscribe to a paid plan to continue using the service. If no subscription is activated, the AI Assistant will be deactivated.
6. Payment Terms
6.1. Payments are processed through Bank of Georgia (BOG) payment gateway. Accepted methods: Georgian bank cards (Visa, Mastercard, American Express), Apple Pay, Google Pay.
6.2. Billing occurs on the same date each month as the initial subscription date.
6.3. All prices are stated in Georgian Lari (GEL) and include applicable taxes.
6.4. Invoices are generated automatically after each successful payment and are available for download in the Client's dashboard and sent via email.
6.5. If a payment fails, the Client will be notified by email and will have 3 days to complete the payment before the AI Assistant is deactivated.
7. Cancellation and Early Termination
7.1. Monthly subscriptions may be cancelled at any time. The service remains active until the end of the current paid period. No refunds are issued for the remaining days of a paid month.
7.2. Annual commitment subscriptions may be cancelled with 14 days' written notice to [email protected]. Early termination of an annual commitment requires a compensation payment of 100 GEL multiplied by the number of elapsed months at the discounted rate, representing the difference between the annual and monthly pricing.
7.3. After cancellation, the Client's data is retained for 90 days. After this period, all tenant data including conversations, leads, and agent configurations will be permanently deleted.
8. Client Obligations
8.1. The Client shall not use the Platform to:
- Send spam or unsolicited messages
- Distribute illegal, harmful, or misleading content
- Impersonate other persons or entities
- Violate applicable laws of Georgia or any other jurisdiction
- Attempt to reverse-engineer, copy, or interfere with the Platform's operation
- Exceed usage limits through automated means
8.2. The Client is responsible for the accuracy and legality of the knowledge base content they provide for their AI Assistant.
8.3. The Client shall inform their End Users that they are interacting with an AI system, not a human.
9. Provider Obligations
9.1. We commit to maintaining Platform availability of at least 99.5% uptime per calendar month, excluding scheduled maintenance windows.
9.2. Scheduled maintenance will be communicated at least 24 hours in advance via email.
9.3. We will provide technical support via email ([email protected]) during business hours (Mon–Fri, 10:00–18:00 Tbilisi time).
9.4. We will continuously work to improve AI response quality, though we cannot guarantee 100% accuracy of AI-generated responses.
10. AI Limitations and Disclaimer
10.1. AI Assistants generate responses using artificial intelligence technology provided by third-party LLM providers (Google, Anthropic, OpenAI). Responses may contain inaccuracies, outdated information, or errors.
10.2. AI Assistants do not replace professional advice (legal, medical, financial, or otherwise).
10.3. The Provider is not liable for business decisions made by the Client or their End Users based on AI-generated responses.
10.4. The Provider does not guarantee specific business outcomes (lead generation rates, conversion rates, revenue increases) from using the Platform.
11. Intellectual Property
11.1. The Platform, its source code, design, documentation, and all related materials are the intellectual property of AI ArchiTech.
11.2. The Client retains full ownership of their data, including uploaded knowledge base content, conversation logs, and lead information.
11.3. The Client grants the Provider a limited license to process their data solely for the purpose of delivering the service.
12. Limitation of Liability
12.1. To the maximum extent permitted by Georgian law, the Provider's total liability for any claims arising from or related to this Agreement shall not exceed the total amount paid by the Client during the 3 months preceding the claim.
12.2. The Provider shall not be liable for indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities.
12.3. The Provider shall not be liable for service interruptions caused by force majeure events, third-party service failures (hosting providers, payment gateways, LLM providers), or circumstances beyond reasonable control.
13. Data Protection
13.1. The processing of personal data is governed by our Privacy Policy, which forms an integral part of this Agreement.
13.2. The Client acts as the data controller for End User data collected through their AI Assistant. The Provider acts as the data processor.
13.3. Both parties commit to complying with the Law of Georgia on Personal Data Protection and the Law on Electronic Commerce (2023).
14. Modifications to Terms
14.1. We reserve the right to modify these Terms at any time. Changes will be communicated via email and published on the Platform at least 30 days before taking effect.
14.2. Continued use of the Platform after the effective date of modified Terms constitutes acceptance of the changes.
14.3. If the Client does not agree with the modified Terms, they may cancel their subscription before the changes take effect.
15. Governing Law and Dispute Resolution
15.1. This Agreement is governed by and construed in accordance with the laws of Georgia.
15.2. Any disputes arising from or in connection with this Agreement shall first be attempted to be resolved through good-faith negotiation.
15.3. If negotiation fails, disputes shall be submitted to the courts of Tbilisi, Georgia.
